1. Scope of Services

1.1 BrainSource.Network operates a recruitment marketplace platform connecting companies (“Clients”) with freelance recruiters and sales partners (“Partners”).

1.2 Our role is facilitation: we post roles, collect candidate profiles, manage feedback, and handle billing—Clients hire and pay, Partners source and submit.

2. Client Obligations

2.1 Provide accurate job briefs (description, salary, location, start date).

2.2 Review candidate profiles and give feedback within 3 business days.

2.3 Pay invoices per agreed model:

• Success fee only: a percentage of the candidate’s starting salary, due within 15 days of hire date.

• Set-up + success fee: non-refundable engagement fee (€ 2,500) or agreed amount upfront, credited against the success fee.

3. Partner Obligations

3.1 Confirm each placement only after candidate consent and contract signing.

3.2 Submit profiles via provided role-specific links.

3.3 Issue B2B invoices in the currency paid by the Client, including VAT where applicable.

3.4 Honor replacement guarantee: if a placed candidate leaves within 30 days (or longer if agreed), supply a replacement within one month at no extra fee.

4. Replacement Guarantee & Fee Adjustment

4.1 Standard guarantee: 30 days for all roles.

4.2 Extended guarantees (60 – 90 days) may be arranged for senior roles at +2 – 2.5 pp on the standard fee.

5. Limitation of Liability

5.1 BrainSource.Network is a facilitator only. It cannot be held liable for:

• Candidate performance or conduct;

• Hiring decisions made by Clients;

• Data omissions by Partners.

5.2 Our total liability is capped at fees paid in the prior 12 months.

6. Confidentiality & Data Protection

6.1 All user and candidate data is confidential. Parties must not share it outside the platform.

7. Dispute Resolution

7.1 Negotiation: Parties agree to negotiate in good faith for 30 days.

7.2 Mediation: If unresolved, they will appoint a mediator in Romania.

7.3 Court: As a last resort, disputes go to the courts of Satu Mare, Romania.

8. Governing Law

This Agreement is governed by Romanian law.
